Explanation
of Key Events
Announcement of Pre-qualification results
Results of the
pre-qualification exercise will be announced on May 3, 2006.
Prospective bidders that are pre-qualified will be notified
individually. In addition, the pre-qualification results will be
published in National dailies and on the MSMD website.
Payment
of Data Room Fees
Pre-qualified
bidders are expected to pay data room access fees as follows:
Bitumen Data
Room Access Fee: N500,000 (or $4,000) per
block
Coal Data Room
Access Fee:
N500,000 (or $4,000) per block
NMC Titles Data
Room Access Fee:
N10,000 (or $75) per Title
The Data Room
Access fees may be paid as a bank draft made payable to the
Ministry of Solid Minerals Development and delivered to MSMD by
mail/courier.
Notes:
- Payment of
the data room access fee for a property is a pre-condition
for bidding on that property.
- Bidders
are asked to complete and return the attached
Confidentiality Agreement with their payment
- Bank
drafts should be clearly marked as appropriate (e.g. “Coal
Data Room Access Fee”).
Opening of Online
and Physical Data Rooms
Upon
confirmation of payment of the Data Room Access Fee and receipt
of a completed
Confidentiality Agreement, pre-qualified
bidders will be granted access to the data room. The data room
will be available in both online and physical versions. Each
pre-qualified bidder may request up to 5 user accounts for the
online data room after confirmation of payment of the
appropriate data room fee. Pre-qualified bidders will also be
granted access to the physical data rooms at the following
locations:

Dispatch
of Information Memoranda
Information
Memoranda will be available for certain mineral properties
offered for bidding. In these cases, the Information Memorandum
will be dispatched from May 12, 2006 and will also be available
in the data room. Due Diligence and
Site Visits
As part of the
due diligence exercise, bidders will be allowed to conduct site
visits to the mineral properties starting from May 12, 2006. If
you would like to schedule such a visit, please fill out the
attached form to
indicate the relevant mineral properties and at least 3
preferred dates.
Bidders’
Forum
MSMD and the
BPE will be hosting two forums for pre-qualified bidders as
follows:

Bidders’ Forum
in London June 2, 2006
The format and
content of both sessions will be the same. Bidders need only
attend one of the two sessions.
Submission of Technical and Financial Bids
Technical
Proposals and Financial Bids for each of the properties on which
you are bidding are both due on July 7, 2006. Technical
Proposals will be evaluated by a panel of industry experts while
Financial Bids will be opened only during the Public Bidding
Session in the presence of all bidders. In selecting a winning
bid, scores assigned to Technical Proposals by the panel of
industry experts will be used to weigh Financial Bids according
to a formula which will be disclosed to bidders beforehand.
Public Bidding Session
MSMD and the
BPE will conduct a public bidding session in Abuja from July 24
- 26, 2006. Additional information and detailed instructions for
this bidding session will be provided at a later date.

Provisions
Prospective
Investors shall bear any and all costs and expenses incurred by
them in connection with the proposed Transaction.
